The Ontario Securities Commission (OSC) Whistleblower Program was established in 2016 to encourage individuals to come forward with information about potential violations of Canadian securities laws.  The program plays a pivotal role in safeguarding the integrity of the capital markets in Canada.

Whistleblowers who voluntarily submit original information under the Ontario Securities Commission program that leads to an enforcement action are eligible for awards up to $5 million.

Employees, former employees, suppliers, contractors, clients, and others may be eligible for an award. Individuals with roles in compliance, investigation, or audit functions (including, officers, members of the board of directors, chief compliance officers, and auditors) are generally not eligible for an award, but such individuals may be eligible if they meet certain conditions outlined in OSC regulations.

The Toronto Stock Exchange features over 1,000 listed companies, including many that also trade on US markets, with a collective market capitalization of more than $3 trillion. If you are aware that one of those companies committed or is committing securities fraud, you should retain counsel experienced in cross-border programs to work on your behalf. Although the OSC program is not as well developed as the SEC’s whistleblower program, Pugsley Wood attorneys have nonetheless been successful in obtaining awards under the program on behalf of multiple clients.
